ORCA AI LLC
Terms of Service
These Terms of Service govern access to and use of TeachMeClara, an educational mathematics service operated by ORCA AI LLC.
Effective date: September 10, 2026
1. Operator and Acceptance of These Terms
TeachMeClara is operated by ORCA AI LLC, California, USA ("ORCA AI LLC," "TeachMeClara," "we," "us," or "our").
By creating an account, purchasing a subscription, or using the TeachMeClara service, the applicable account holder agrees to these Terms of Service and our applicable privacy policies.
2. What TeachMeClara Is
TeachMeClara is a mathematics learning and homework-support service. Clara is an artificial intelligence educational system designed specifically to help students understand, practice, and reason through mathematics.
Clara is an AI system and not a human teacher, tutor, counselor, or other person.
3. Clara's Educational Role
Clara may use curriculum-aligned mathematical knowledge relevant to the student's school grade and educational program. TeachMeClara and Clara do not replace a school, national education system, classroom teacher, or formal instruction.
Clara acts as a personal mathematics learning companion. Clara can help a student understand homework, revisit a mathematical concept, work through a difficulty, practice a skill, or receive an additional explanation in a family or home-learning environment.
When pedagogically useful, Clara may use age-appropriate examples and analogies inspired by surfing, skateboarding, and everyday situations to make mathematical concepts easier to understand.
4. Closed Student Environment
The student learning experience is a closed educational environment. Students interact with Clara for mathematics learning and do not receive access through TeachMeClara to student-to-student messaging, public chat rooms, social networking, public student profiles, or communication with unknown third parties.
TeachMeClara is not an open-ended social or messaging platform. Clara is designed to keep the student experience focused on mathematics and to redirect interactions toward the educational purpose of the service when appropriate.
5. Student Information and Learning Data
TeachMeClara follows a data-minimization approach for student profiles. A student learning profile requires the student's first name and school grade. TeachMeClara does not require the student to provide an email address, phone number, home address, or full legal name to create that student learning profile.
During use of the educational service, TeachMeClara may process learning-related information generated through interactions with Clara, including mathematical responses, exercises attempted, detected difficulties, progress, skills worked on, and learning history. This information is used to provide and personalize the mathematics learning experience and related parent learning information.
Additional information about data practices is provided in the TeachMeClara Privacy Policy and Children's Privacy Policy.
6. Parent and Student Roles
In the family subscription experience, the parent or authorized adult controls the family account, subscription, payment decisions, and Parent Dashboard. The parent creates or manages the student profile and can review learning information made available through the Parent Dashboard.
A student uses Clara for learning. A student cannot purchase a family subscription, change its billing terms, cancel the subscription, or authorize purchases of additional paid services.
7. Educational Method and AI Limitations
Clara is designed to guide the student through mathematical reasoning rather than simply provide final answers. The student remains responsible for completing the mathematical work.
Artificial intelligence systems can make mistakes or produce incomplete or inaccurate explanations. Parents and students should use appropriate judgment and may verify educational information with the student's school or teacher when necessary.
TeachMeClara does not guarantee any particular grade, test result, academic outcome, admission result, or level of school performance.
8. Subscriptions
A paid TeachMeClara family subscription is associated with one student and the applicable school grade. Subscription pricing and the selected billing option are disclosed before purchase.
TeachMeClara currently offers a monthly billing option of $75 per month and an annual billing option of $765 per year. Both billing options are subject to a twelve-month contractual subscription term.
9. Twelve-Month Commitment
Whether the parent selects monthly or annual billing, the subscription carries a twelve-month commitment beginning on the subscription start date.
Monthly billing determines the payment schedule and does not convert the subscription into a month-to-month commitment.
10. Automatic Renewal
Unless renewal is canceled before the end of the current subscription term, the subscription automatically renews at the end of the twelve-month term for a new annual subscription period, subject to applicable law and the disclosures and consents presented during purchase.
The applicable renewal price and billing cadence are governed by the subscription terms presented to the parent, subject to any notice requirements imposed by applicable law.
11. Cancellation
The parent can request cancellation of automatic renewal through the Parent Dashboard.
Cancellation stops the next renewal. It does not terminate the current twelve-month commitment or immediately revoke access to the paid service. The cancellation becomes effective at the end of the current subscription term, on the applicable renewal anniversary date.
The student retains access to the applicable paid service through the end of the already committed subscription term, subject to these Terms.
12. No Refunds
Payments already made are non-refundable, except where a refund is required by applicable law. Cancellation of renewal does not create a right to a refund for amounts already paid or amounts due under the existing contractual commitment, except as required by law.
13. Clara Présentielle and Additional Credits
An eligible paid subscription includes 20 minutes of Clara Présentielle per month.
Any request to purchase additional Clara credits or paid Clara time is initiated exclusively from the Parent Dashboard. A student cannot request, authorize, purchase, or otherwise initiate any paid credit transaction.
The student cannot create any financial obligation through TeachMeClara. No charge, purchase, subscription modification, or additional paid service can be initiated from the student experience. Any additional expenditure must be expressly initiated and authorized by the parent or authorized adult through the Parent Dashboard.
Any additional pricing or credit conditions will be disclosed to the parent before purchase.
14. Acceptable Use
Users may not attempt to gain unauthorized access to the service, interfere with its operation, circumvent security or access controls, misuse another person's account, use the service for unlawful purposes, or deliberately abuse automated or AI functionality.
15. Intellectual Property
TeachMeClara, Clara, the service's software, design, educational experience, branding, and related proprietary materials are owned by or licensed to ORCA AI LLC and are protected by applicable intellectual property laws.
These Terms do not transfer ownership of TeachMeClara or its underlying technology to any user.
16. Service Availability and Changes
We may maintain, update, improve, or modify TeachMeClara and its educational features. Temporary interruptions may occur for maintenance, security, technical, or operational reasons.
17. Disclaimer
To the maximum extent permitted by applicable law, TeachMeClara is provided on an "as is" and "as available" basis. Nothing in these Terms excludes warranties, protections, or rights that cannot lawfully be excluded.
18. Limitation of Liability
To the maximum extent permitted by applicable law, ORCA AI LLC will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of or inability to use TeachMeClara. Nothing in these Terms limits liability where such limitation is prohibited by applicable law.
19. Privacy and Children's Privacy
Use of TeachMeClara is also governed by our Privacy Policy and Children's Privacy Policy. Those policies explain how information is collected, used, protected, retained, and handled in connection with the service.
20. Governing Law
These Terms are governed by the laws of the State of California and applicable United States federal law, without limiting any mandatory consumer rights that may apply under other applicable law.
21. Changes to These Terms
We may update these Terms when the service, our practices, or applicable legal requirements change. Where required by law, we will provide appropriate notice before material changes take effect.
